1. Acceptance of Terms

By accessing and using ResellStack ("the Service"), you accept and agree to be bound by the terms and provisions of this agreement. ResellStack is a software-as-a-service platform that provides tools for tracking auctions, managing inventory, and analyzing resale opportunities. If you do not agree to abide by these terms, please do not use this service.

2. Description of Service

ResellStack provides a web-based platform that allows users to:

• Track and manage auction listings and bids
• Organize inventory of items purchased at auction
• Calculate fees, costs, and potential profits from resale activities
• Manage sales across various platforms (eBay, Facebook Marketplace, Poshmark, etc.)

The Service is provided on a subscription basis, and access to features may vary based on your subscription plan.

3. User Accounts and Registration

To use ResellStack, you must create an account. When creating an account, you agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You may not share your account credentials with others or allow others to access your account. Each account is intended for use by a single individual or entity.

4. Subscription and Payment Terms

ResellStack operates on a subscription-based model. By subscribing, you agree to:

• Pay all subscription fees as specified at the time of subscription
• Understand that fees are billed in advance on a recurring basis (monthly or annually, as selected)
• Authorize automatic renewal of your subscription unless cancelled
• Accept that subscription fees are non-refundable except as required by law

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing period, and you will retain access to the Service until that time. We reserve the right to change our subscription fees with reasonable notice to existing subscribers.

5. User Content and Data Ownership

You retain all ownership rights to the data, information, and content you upload or enter into ResellStack, including auction listings, inventory items, and sales records ("User Content"). By using the Service, you grant ResellStack a limited, non-exclusive license to:

• Store, process, and display your User Content as necessary to provide the Service
• Use aggregated, anonymized data for analytics and service improvement purposes
• Access your User Content to provide customer support and troubleshoot issues

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that you have all necessary rights to upload and use any User Content you provide to the Service.

6. Acceptable Use and Prohibited Activities

You agree to use ResellStack only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable law or regulation
• Attempt to gain unauthorized access to the Service, other accounts, or computer systems
• Use automated systems (bots, scrapers, scripts) to access or interact with the Service without our express written permission
• Reverse engineer, decompile, or disassemble any part of the Service
• Interfere with or disrupt the Service, servers, or networks connected to the Service
• Share, resell, or sublicense access to your account or the Service
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Service to collect or harvest information about other users

7. Data Accuracy and Disclaimers

ResellStack provides tools to help you track and analyze auction and resale data. However, you acknowledge and agree that:

• ResellStack does not verify the accuracy of auction listings, prices, or other data you enter
• Calculations, estimates, and projections are provided for informational purposes only and should not be relied upon as financial or legal advice
• You are responsible for verifying all auction details, fees, and terms with the actual auction house or platform
• ResellStack is not responsible for errors in data entry, calculation mistakes, or changes in auction terms
• The Service is provided "as is" without warranties of any kind, either express or implied

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee uninterrupted or error-free operation. We reserve the right to:

• Modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice
• Perform scheduled maintenance that may temporarily interrupt service
• Update features, functionality, or the user interface
• Limit access to certain features based on subscription tier

We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service. We will make reasonable efforts to notify users of significant changes or planned maintenance when possible.

9. Limitation of Liability

To the maximum extent permitted by law, ResellStack and its suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, data, or business opportunities
• Damages arising from use or inability to use the Service
• Errors or omissions in the Service or calculations
• Losses resulting from auction outcomes, bidding decisions, or resale activities

Our total liability to you for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, if you breach these Terms. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content, though we will provide reasonable notice and opportunity to export your data when possible
• All outstanding fees remain due and payable

You may terminate your account at any time by cancelling your subscription and contacting us to request account deletion.

11. Intellectual Property

The Service, including its original content, features, functionality, design, and software, is owned by ResellStack and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

12. Modifications to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration or in the appropriate courts, as determined by applicable law.
